Article 1 Dataset Terms of Use

1. AIMMO Inc. and its affiliates (hereinafter individually or collectively "Licensor") are committed to improving public access and use of collected, annotated and published data. The data consists of an open dataset (hereinafter "Open Dataset") listed in (AIMMO-provided data link information).

2. Open Datasets are collections of data comprised of multiple machine-readable formats managed by the Licensor. The Licensor will enable individuals or entities (hereinafter individually or collectively "You" or "Your") to access Open Datasets free of charge based on the terms and conditions of this Agreement (hereinafter "Open Dataset Terms of Use").

3. However, if you (i) apply for the use of paid data; or (ii) use an Open Dataset for any purpose other than ‘research and training of autonomous driving and other smart city technologies (including commercial purposes), you must pay to the Licensor, after separate discussion with the Licensor, the service fees determined in accordance with the Licensor’s standards (which may be changed at the Licensor’s discretion). All payments must be made in U.S. dollars or on a mutually agreed upon payment method unless otherwise specified in an order form or invoice. Any use of data derived from the Open Dataset that may appear in the form of tables, charts, development kits, documents, or codes will also be subject to these Open Dataset Terms of Use.

4. By downloading or using the Open Dataset, you agree to the Open Dataset Terms of Use. If you download an Open Dataset or use an organization's Open Dataset, you agree to these Open Dataset Terms of Use on behalf of the organization. Do not download or use the open dataset if you do not have the right to consent to these Open Dataset Terms of Use.

Article 2 Licenses

1. Unless specifically indicated otherwise, these Open Datasets are provided to you pursuant to the Creative Commons Attribution-NonCommercial 4.0 International Public License ("CC BY-NC 4.0"). This Open Data set will have additional conditions in its Open Dataset Terms of Use. CC BY-NC 4.0 may be accessed on the link below:

2. When you download or use an Open Dataset on a website or elsewhere, you agree to comply with the terms of the CC BY-NC 4.0. If these Open Dataset Terms of Use conflict with the terms and conditions of the CC BY-NC 4.0, then the Open Dataset Terms of Use shall prevail.

Article 3 Privacy

1. This Open Data set is provided for the purpose of research and education on autonomous driving and other smart city technologies. The Licensor prohibits the use of the Open Dataset in any way to identify or infringe on any individual’s personal data that may have been collected incidentally when creating this Open Dataset.

2. This is also true even though such use is lawful. Individuals with privacy concerns including requests to remove personally identifiable information or personal data from an Open Dataset may send an electronic mail to privacy@aimmo.co.kr.

Article 4 No Publicity Rights

1. You may not use the Licensor's name, trademark, official mark, official emblem or logo, or any other promotion or promotional medium of the Licensor without the Licensor’s prior written consent or in any event. Except for the necessary situation to comply with the vesting requirements of the CC BY-NC 4.0 License, the Licensor shall not be deemed to consent to the use of any name, trademark, official mark, official emblem, logo, or other means of promotion of the Licensor without the Licensor’s express consent.

Article 5 Termination

2. In the event of termination of an agreement, the Licensor shall give a prior notice thirty (30) days prior to termination, and may terminate your access to all or part of the Open Dataset or website. All provisions of the Open Dataset Terms of Use, including but not limited to warranty disclaimers, indemnifications, and limitations on liability, are inherently survive termination.

Article 6 Indemnification

1. You shall be responsible for and liable for any losses, costs, and damages, including but not limited to any actual, general, special, indirect, incidental, and consequential damages, arising out of: (i) the website or dataset; (ii) your access to the website; (iii) your breach of the Open Dataset Terms of Use; or (iv) your infringement, or infringement of any third party using your account, of any intellectual property or other rights of any person or entity.

Article 7 Dispute Resolution

1. The Company shall establish and operate a damage compensation and handling organization to reflect users’ legitimate opinions or complaints and to compensate for damages therefrom.

2. "Homepage", in principle, prioritizes complaints and comments submitted by users. However, if it is difficult to handle such complaints and comments promptly, users shall be immediately notified of the reasons and schedule for handling thereof.

3. Disputes arising between the "Homepage" and a user(s) may be subject to the Mediation Committee of Disputes on Electronic Documents and Transactions established pursuant to Article 32 of the Framework Act on Electronic Documents and Transactions.

Article 8 Jurisdiction and Governing Law

1. The Seoul Central District Court shall have jurisdiction over any disputes or litigation between the Licensor and a user(s), with respect to these Terms of Use.

2. Any disputes and litigation between the Licensor and a user(s), with respect to these Terms of Use, shall be governed by Korean laws.

3. You consent to the jurisdiction of such courts mentioned above and waive all other available jurisdiction or venue defenses.

Article 9 Miscellaneous

1. You agree that it is your responsibility to comply with all applicable laws relating to the use and display of Open Datasets or derivatives thereof, including applicable privacy, data protection, security, and export control laws. These Open Dataset Terms constitute the entire agreement between you and the Licensor with respect to the subject matter of these Open Data set terms and supersede all prior or current agreements, whether written or oral.

2. If a court of competent jurisdiction determines that a provision of these Open Dataset Terms of Use cannot be implemented, the non-enforceable provision will be modified to reflect the parties intent only to the extent necessary to enable the provision to be implemented. The rest of these Open Dataset Terms of Use remain valid.

3. You may not assign these Open Dataset Terms of Use without the prior written consent of the Licensor. The Licensor may assign, transfer or delegate the rights and obligations under these Open Dataset Terms of Use without your consent. The parties are independent contractors. The failure or delay of either party to exercise any rights under these Open Dataset Terms of Use shall not be deemed a waiver of such rights.

4. No waiver of any remedy for default is a waiver of sanctions for subsequent default. These Open Dataset Terms of Use may be amended by the Licensor from time to time at the Licensor’s discretion. If the update affects the use of the Open Dataset, the Licensor will notify you before the updated terms apply to your use.

5. These Open Dataset Terms of Use may be amended by the Licensor from time to time at the Company’s discretion. If the update affects the use of an open dataset, the Licensor will notify you before the updated terms apply to your use.


[Addendum]

These Terms of Use shall enter into force on (Jan. 5), 2023.
